What Changed in Florida in 2026?
The Florida Division of Corporations states that the Uniform Protected Series provisions of Chapter 605 are effective July 1, 2026. The provisions add filings that allow Florida LLCs to designate, change, cancel, or dissolve protected series.
The standard eight-step Florida formation/compliance path remains the right framework for an ordinary LLC. Protected series are an optional structural layer for a narrower set of businesses.
When Might a Protected Series Be Worth Investigating?
Possible use cases include businesses with multiple assets or ventures that need structured internal separation. But a series structure is not automatically better than forming separate LLCs. Banking, contracts, insurance, taxes, licensing, foreign-state recognition, and recordkeeping all matter.

Operational Separation Still Matters
Do not assume that filing a protected-series designation alone solves liability, tax, accounting, or licensing questions. What About Foreign Series LLCs?
Florida's 2026 rules also recognize foreign series LLCs and foreign protected series. A foreign series LLC uses the existing Florida foreign-LLC qualification framework, while a foreign protected series may have additional filing options under the new provisions.
