What the LLC Changes—and What It Doesn't

An LLC creates a state-law legal entity. That can be useful for holding inventory, entering supplier contracts, receiving Amazon payouts, owning brand assets and separating business obligations from an owner's personal affairs. But the practical benefit depends on maintaining the entity correctly and on the type of claim.

Do not describe an LLC as “insurance.” An LLC and product-liability insurance solve different problems. A seller can still face personal exposure for personal wrongdoing, guarantees, certain tax obligations or circumstances where applicable state law permits veil piercing.

When Should an Amazon Seller Form the LLC?

There is no reliable universal dollar threshold such as “form at exactly $2,000 of inventory.” The better decision is risk-based. Formation deserves stronger consideration when you have meaningful capital at risk, recurring supplier obligations, higher-risk products, employees, multiple owners, a valuable brand, or enough ongoing sales that the business is no longer merely an experiment.

What State Should an Amazon Seller Form In?

Do not choose a formation state solely because it is marketed as “tax free” or private. For many U.S.-based owner-operated sellers, the home state is the practical default because forming elsewhere can still create foreign-registration obligations where the business is operated. Amazon FBA, Marketplace Tax and Nexus

Amazon describes itself as a marketplace facilitator and says it calculates, collects, remits and refunds sales/use tax for orders shipped to jurisdictions where marketplace-facilitator laws make Amazon responsible. That does not mean a seller never has registration, filing, income/franchise-tax or other state obligations.

Inventory and multi-channel sales still matter. FBA inventory can be relevant to physical-presence nexus, and non-Amazon sales may create separate collection duties. Verify material states with their revenue agencies.

Federal Tax Treatment of the LLC

A domestic single-member LLC is generally disregarded for federal income tax unless it elects corporate treatment; an individual owner commonly reports a trade or business on Schedule C, and net earnings from self-employment can be subject to self-employment tax. An S corporation election is a separate tax decision—not an automatic step at a fixed profit level.

Form 1099-K: the current federal TPSO threshold is payments exceeding $20,000 and more than 200 transactions. A platform may still issue a form below that threshold, and taxable income must be reported whether or not a Form 1099-K arrives.
