What New York’s Publication Requirement Requires

After a New York LLC is formed, LLC Law §206 requires publication of a notice in two newspapers designated by the county clerk for the county stated in the Articles of Organization. One paper must be a daily newspaper and the other a weekly newspaper. The notice runs once each week for six successive weeks.

120-day clock: the publication requirement must be completed within 120 days after the LLC becomes effective. This is separate from the 90-day deadline for adopting the operating agreement.

How to Complete Publication

  1. Confirm the county listed for the LLC’s office in the Articles of Organization.
  2. Contact that county clerk and obtain the two designated newspapers.
  3. Arrange the required notice with both newspapers.
  4. Run the notice once a week for six successive weeks.
  5. Collect each newspaper’s affidavit of publication.
  6. File the Certificate of Publication with the Department of State and pay the $50 state filing fee.

What Publication Costs

The Department of State fee is fixed, but newspaper charges are not. The cost depends on the county and the specific papers the county clerk designates. New York City counties are often significantly more expensive than many upstate counties, so the county-of-office decision should be made carefully before filing the Articles.

If You Miss the Deadline

Failure to comply does not erase the LLC’s existence, but New York law suspends the LLC’s authority to carry on, conduct, or transact business in the state until the publication requirement is cured. Complete the publication and file the Certificate of Publication to restore authority.

Important: do not choose a county solely because a registered-agent company happens to have an address there. The county used for publication must align with the county of the LLC office stated in the formation filing and New York’s rules.

What Comes Next

Once publication is underway or complete, obtain your EIN, then keep your biennial statement deadline on your compliance calendar.
