Wyoming LLC Annual Report — Step 6 of 8
This is Wyoming's one recurring requirement — and it's refreshingly cheap. The annual report doubles as a "license tax" of just $60 for most LLCs, due the first day of your formation anniversary month each year. Here's exactly how it's calculated, when yours is due, and a calculator to pin down your dates and amount.
Every Wyoming LLC files an annual report that includes a license tax — the greater of $60 or $0.0002 per $1 of Wyoming-located assets. Most small and online LLCs pay the $60 minimum; online filing may add a payment-processor convenience fee based on the amount due. It's due the first day of your formation anniversary month each year, and an unfiled report can lead to administrative dissolution after 60 days.

What the Annual Report Is
Wyoming's annual report is a quick yearly filing that keeps your LLC in good standing. It also carries the state's license tax — Wyoming's version of an annual fee. There's no separate franchise tax and no state income tax, so for most owners this small payment is the only recurring cost the state asks for.
The license tax is the greater of $60 or $0.0002 per dollar of assets your LLC holds in Wyoming. The key phrase is "in Wyoming" — only assets physically located in the state count, which is why the vast majority of small and online LLCs simply pay the $60 minimum.
How the license tax is calculated
- Under $300,000 in Wyoming assets: you pay the flat $60 minimum.
- Over $300,000 in Wyoming assets: you pay $0.0002 × your Wyoming assets (e.g., $500,000 → $100; $1,000,000 → $200).
- Online filing may include a payment-processor convenience fee based on the license tax due; confirm the current checkout amount in WyoBiz.

When It's Due & What Happens If You're Late
Your report is due the first day of the month you formed in, every year. Form on March 15 and your report is due March 1 each following year — not a fixed statewide date like some states use. Your first report isn't due until your first formation anniversary, so a brand-new LLC has roughly a year before its first filing.
- Reminders: Wyoming emails you at 60, 30, and 10 days before the due date (keep your registered agent's contact current).
- Late filing: the entity becomes delinquent after the due date; if the report remains unfiled for 60 days after the due date, administrative dissolution can follow.
- Still unfiled after 60 days: the state can administratively dissolve the LLC. Reinstatement requirements then apply; do not assume the consequences are limited to a simple late fee.
Why "Wyoming assets" usually means $60The license tax only looks at assets located in Wyoming. If you run an online business, a holding company, or operate mostly from another state, you likely have little or nothing physically in Wyoming — so you pay the $60 minimum no matter how much your business is worth overall. The asset formula mainly affects companies with substantial in-state property or equipment.
Public-record reminderWyoming treats filed business documents and signatures as public records. Review the information and signer shown on the annual report before filing. If an authorized service is filing for the LLC, confirm exactly what information it will submit.
